Welcome to Mine Insurance, a cloud-based insurance management software platform operated by VJ Infosoft Pvt. Ltd. These Terms and Conditions ("Terms") govern your access to and use of our services.

1. Acceptance of Terms

By creating an account, accessing, or using the Mine Insurance platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use of the services after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility and Account Registration

3. Services and License

3.1 Software License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Mine Insurance for your internal business purposes.

3.2 Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the software
• Reverse engineer, decompile, or disassemble the platform
• Rent, lease, sell, or sublicense the services to third parties

4. Subscription and Payment

Mine Insurance is offered on a subscription basis. Pricing and plan details are provided during the sales process.

4.2 Payment Terms

• Subscription fees are payable in advance based on your chosen billing cycle
• All fees are non-refundable
• We reserve the right to modify pricing with 30 days' notice
• Late payments may result in service suspension
• You are responsible for all applicable taxes

5. User Data and Content

You retain all ownership rights to the data and content you upload to Mine Insurance ("Your Data"). By uploading Your Data, you grant us a limited license to:

• Store, process, and transmit Your Data to provide the services
• Generate anonymized analytics and insights

5.2 Your Responsibilities

• The accuracy, quality, and legality of Your Data
• Ensuring you have necessary rights to upload and use Your Data

Mine Insurance, including all software, designs, graphics, text, and other content, is owned by VJ Infosoft Pvt. Ltd. and protected by intellectual property laws. Our trademarks, logos, and service marks are our property.

7. Service Availability and Maintenance

7.1 Uptime

We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted access and may experience downtime for:

• Scheduled maintenance (with advance notice)
• Emergency maintenance
• Events beyond our reasonable control (force majeure)

7.2 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any feature or functionality
• Update the platform with new features and improvements
• Change technical requirements for accessing the services

8. Data Security

10. Disclaimer of Warranties

IMPORTANT: The services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted, secure, or error-free operation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VJ Infosoft Pvt. Ltd., its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Any damages arising from your use or inability to use the services

Our total liability for all claims arising from these Terms or the services shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless VJ Infosoft Pvt. Ltd. and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the services
• Your violation of any laws or third-party rights

13. Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to:

• Insurance Regulatory and Development Authority of India (IRDAI) regulations
• Information Technology Act, 2000 and related rules
• Data protection and privacy laws
• Anti-money laundering and KYC regulations
• Tax laws and reporting requirements

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting our support team. Termination does not relieve you of any payment obligations for services already provided.

14.2 Termination by Us

We may terminate or suspend your access immediately, without notice, for:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended inactivity (after notice)

14.3 Effect of Termination

Upon termination:

• Your access to the services will cease immediately
• We will delete Your Data after 90 days unless legally required to retain it

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or the services shall be subject to the exclusive jurisdiction of the courts in Rajkot, Gujarat, India.

15.3 Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any disputes through good faith negotiations with us for at least 30 days.

16. General Provisions

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and VJ Infosoft Pvt. Ltd.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
